Striking off a company is a straightforward process if the company meets the requirements and has no outstanding liabilities or legal issues. It provides a way for businesses to formally end their existence without undergoing a formal liquidation process.
In Malaysia, voluntary winding up of a company is the process by which a company decides to dissolve itself. This is typically done when the company has ceased operations, and its shareholders or creditors believe that winding up is the best option for the company.
LLP registration is an alternative business vehicle under Limited Liability Partnerships Act 2012 (LLPA 2012) which combines the characteristics of a company and a conventional partnership.
LLP is governed by the Companies Commission of Malaysia/Suruhanjaya Syarikat Malaysia (SSM) under the LLPA 2012 and Limited Liability Partnerships Regulations 2012. LLP was newly introduced in 2012 in Malaysia, Conventional Partnership and Private Limited Company (Sdn. Bhd.) are allowed to be converted to LLP under the LLPA 2012.

One of the modes of dissolving a LLP is through the voluntary winding up process. LLP, that has ceased to operate and has discharged all its assets and liabilities, may be wound up voluntarily pursuant to Section 50 of the LLPA 2012.
– Application to SSM when all assets and liabilities have been discharged
– Application must be preceded by notice to all partners and
advertisement of the intention to wind up in a widely circulated newspaper
– SSM will order dissolution only if there is no objection received
